Solar3D, Inc. has agreed to sell 3,000,000 units. Each unit, sold at a public offering price of $4.15 per unit, consists of one share of common stock and a warrant to purchase one share of common stock at an exercise price of $4.15 per share.
The warrants are exercisable from the date of original issuance and will expire on March 9, 2020. The shares of common stock and the warrants will be immediately separable and will be issued separately.
Commencing today, the Company's common stock will trade on The NASDAQ Capital Market under the ticker symbol "SLTD."
The gross proceeds to Solar3D from this offering are expected to be approximately $12.5 million not including any future proceeds from the exercise of the warrants.
