Crosstex Energy, Inc. and Crosstex Energy, L.P. announced that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended ('HSR'), has expired in connection with the previously announced combination of substantially all of the U.S. midstream assets owned by Devon Energy Corporation ('Devon') with Crosstex's assets to form a new midstream business. Expiration of the HSR waiting period satisfies one of the conditions to the closing of the business combination.
The business combination is expected to close in the first quarter of 2014, subject to certain other conditions set forth in the merger agreement and contribution agreement, including approval by stockholders of Crosstex Energy, Inc. and other customary closing conditions.
